The terms that govern access to and use of Agnotiq's websites, applications, product experiences, demos, and related services. Written for business customers and meant to sit alongside any signed order form.

These Terms apply to Agnotiq's websites, applications, product experiences, demos, and related services (the “Services”). Agnotiq provides AI-driven workflow automation and agentic workflow infrastructure for business users — particularly operations, IT, customer, and revenue teams that want governed automation across existing business systems. By accessing or using the Services, you agree to these Terms. If you are using the Services on behalf of a company or other legal entity, you represent that you have authority to bind that entity, and “you” refers to that entity and its users.

§1

Website use

These Terms are written for a commercial SaaS website and subscription service. They are intended to be read as a standalone website legal page and, where applicable, alongside any signed order form, master services agreement, statement of work, data processing addendum, or support policy.

§2

Definitions

Capitalized terms used throughout these Terms have the following meanings.

Agnotiq

The Agnotiq entity identified in the applicable order form, invoice, or online signup flow.

Customer

The person or entity that subscribes to the Services.

Authorized User

An individual permitted by Customer to use the Services under Customer's account.

Customer Data

Data, content, files, prompts, workflow inputs, records, and other information submitted to or processed through the Services by or on behalf of Customer.

Documentation

User guides, technical documentation, and policies made available by Agnotiq.

Output

Content, summaries, recommendations, actions, or other results generated by the Services.

§3

Account eligibility

You must be at least the age of majority in your jurisdiction and legally capable of entering into a binding contract to use the Services. If you create an account, you must provide accurate, current, and complete information and keep it updated.

You are responsible for maintaining the confidentiality of credentials, limiting access to Authorized Users, and all activity that occurs under your account. You must promptly notify Agnotiq of any suspected unauthorized use or security incident affecting your account.

§4

What the Services do

Agnotiq is a B2B SaaS platform designed to automate recurring workflows across existing business systems with visibility, control, approvals, and oversight.

The Services may allow you to connect third-party tools, route tasks, monitor workflows, generate summaries, update records, escalate exceptions, and otherwise coordinate business processes. The Services are intended for operational and business use, not for emergency services, high-risk activity, or uses where failure could cause death, personal injury, or severe environmental damage.

Agnotiq may change, improve, or discontinue features from time to time. Unless otherwise stated in an order form or separate written agreement, Agnotiq may modify the Services at its discretion.

§5

Plans, billing & renewals

If you purchase a paid subscription, the applicable fees, billing cycle, renewal terms, and usage limits will be set out in the order form, checkout flow, invoice, or separate commercial agreement. Unless otherwise stated, subscriptions renew automatically for successive terms until cancelled in accordance with the applicable order form or account settings.

Fees are due when stated on the invoice or order form. If payment is not received on time, Agnotiq may charge interest or late fees to the extent permitted by law and may suspend access until the account is brought current. Fees are generally non-refundable unless a refund is required by law or expressly stated in writing by Agnotiq.

Agnotiq may change pricing for future renewal periods by providing advance notice as required by the applicable agreement or law. Taxes, duties, and similar charges are your responsibility unless Agnotiq is legally required to collect them.

§6

Your access rights

Subject to these Terms and your payment of applicable fees, Agnotiq grants you a limited, non-exclusive, non-transferable, non-sublicensable right to access and use the Services during the subscription term for your internal business purposes.

You may not:

  • resell, lease, sublicense, or otherwise make the Services available to third parties except as expressly permitted;
  • reverse engineer, decompile, or attempt to discover source code, models, system prompts, or underlying infrastructure, except to the extent prohibited by law;
  • use the Services to build a competing product or service;
  • bypass usage limits, security controls, or access restrictions;
  • scrape, probe, or test the Services for vulnerability except through Agnotiq-approved security testing;
  • use the Services in violation of law, these Terms, or any applicable order form.
§7

Customer Data & responsibility

As between you and Agnotiq, you retain ownership of Customer Data, subject to the rights you grant Agnotiq in these Terms. You represent and warrant that you have all rights, permissions, and legal bases needed to submit Customer Data to the Services and to allow Agnotiq and its service providers to process it as contemplated by these Terms and the Documentation.

You are responsible for the accuracy, quality, legality, and appropriateness of Customer Data, including any prompts or instructions you provide and any decisions you make based on Output. You are also responsible for ensuring that Authorized Users comply with these Terms.

Agnotiq is not responsible for independently verifying the legality, accuracy, or completeness of Customer Data, nor for deciding whether any Output is suitable for your specific use case without appropriate human review.

§8

License to Agnotiq

You grant Agnotiq a worldwide, non-exclusive, royalty-free license to host, copy, transmit, process, display, and otherwise use Customer Data solely to provide, maintain, secure, support, and improve the Services, to fulfill your instructions, and to comply with law.

Unless otherwise agreed in writing, Agnotiq may also use aggregated or de-identified information for analytics, benchmarking, product improvement, and service optimization, provided that such information does not identify you or any individual.

§9

AI features & Output

The Services may generate Output using AI or automated systems. Output may be incomplete, inaccurate, outdated, biased, or otherwise unsuitable for a particular purpose. You should not rely on Output as the sole basis for legal, financial, medical, employment, security, or other high-stakes decisions without appropriate review by qualified personnel.

Because Agnotiq is designed around governed workflow execution, approvals, and oversight, the Services may allow you to configure review steps, permission controls, and human checkpoints before actions are executed in connected systems.

You acknowledge that AI-generated Output is probabilistic and may vary based on inputs, context, connected systems, configuration, and model behavior. Agnotiq does not guarantee that Output will be error-free, unique, or suitable for your intended use.

§10

Acceptable use

You may not use the Services to:

  • violate law, infringe rights, or facilitate fraud, deception, phishing, malware, or spam;
  • submit unlawful, defamatory, hateful, harassing, or abusive content;
  • attempt unauthorized access to the Services, third-party systems, or data;
  • interfere with service integrity, monitoring, logging, rate limits, or security measures;
  • upload viruses, worms, ransomware, or other malicious code;
  • process sensitive information where not authorized by law or contract;
  • use the Services in a way that could materially degrade performance for others.

Agnotiq may suspend or terminate access immediately if it reasonably believes there is a security risk, misuse, legal violation, or material breach of these Terms.

§11

Service levels & support

Agnotiq may provide support and service availability commitments in a separate order form, service level agreement, or support policy. Unless Agnotiq expressly states otherwise in writing, the Services are provided without any guaranteed uptime or response time commitment.

Agnotiq may perform scheduled maintenance, emergency maintenance, updates, and configuration changes from time to time. Agnotiq will use commercially reasonable efforts to minimize disruption, but it does not guarantee that the Services will always be available, uninterrupted, or error-free.

§12

Third-party services

The Services may interoperate with third-party applications, APIs, databases, and systems selected by you or supported by Agnotiq. Third-party services are governed by their own terms and privacy practices, and Agnotiq is not responsible for third-party acts, omissions, outages, security issues, or content.

You are responsible for maintaining any third-party accounts, credentials, permissions, and integrations needed for your use of the Services.

§13

Suspension & termination

Agnotiq may suspend or terminate access to the Services if you violate these Terms, if payment is overdue, if your use poses a security, legal, or operational risk, or if required by law.

You may stop using the Services at any time. If your subscription ends, your access may be disabled and Agnotiq may delete or retain Customer Data in accordance with its retention practices, applicable law, and any separate agreement.

§14

Confidentiality

Each party may receive non-public information from the other in connection with the Services. The receiving party must use that information only for the purpose of performing under these Terms, and must protect it using reasonable care.

This obligation does not apply to information that is public, already known without breach, independently developed, or lawfully obtained from a third party. Disclosure may also be made if required by law, provided reasonable notice is given where legally permitted.

§15

Intellectual property

Agnotiq and its licensors retain all right, title, and interest in the Services, Documentation, software, templates, designs, trademarks, and related intellectual property, except for the limited rights expressly granted to you in these Terms.

You may not remove proprietary notices or use Agnotiq's trademarks without prior written permission, except as permitted by law or brand guidelines.

§16

Feedback

If you provide suggestions, feature requests, ideas, or other feedback, you grant Agnotiq a perpetual, irrevocable, worldwide, royalty-free right to use that feedback without restriction or compensation.

§17

Warranties & disclaimers

To the maximum extent permitted by law, the Services are provided on an “as is” and “as available” basis. Agnotiq disclaims all warranties, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

Agnotiq does not warrant that the Services will be uninterrupted, error-free, secure in all circumstances, or that Output will be accurate, complete, or suitable for your specific business needs. You are responsible for evaluating whether the Services meet your requirements.

§18

Limitation of liability

To the maximum extent permitted by law, Agnotiq will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost revenue, loss of goodwill, loss of anticipated savings, business interruption, loss of data, replacement costs, or procurement of substitute services, even if Agnotiq was advised of the possibility of those damages.

Liability cap

To the maximum extent permitted by law, Agnotiq's total aggregate liability arising out of or relating to the Services, the Documentation, Output, any subscription, or these Terms will not exceed the greater of:

  1. athe fees actually paid or payable by you to Agnotiq for the Services giving rise to the claim during the twelve (12) months immediately preceding the event first giving rise to liability; or
  2. bCAD $100 if no fees have been paid.

The liability cap above applies to all claims in the aggregate, whether based in contract, tort, negligence, strict liability, statute, or otherwise. The only exceptions are liabilities that cannot be limited by law and, if expressly stated in a signed order form or separate written agreement, any claim categories that Agnotiq has agreed in writing to exclude from the cap.

Without limiting the above, Agnotiq is not liable for claims arising from: (i) Customer Data; (ii) customer configurations, workflows, approvals, permissions, or connected systems; (iii) third-party services or integrations; (iv) acts or omissions of Authorized Users; (v) unauthorized access resulting from your credentials, devices, or systems; or (vi) your failure to follow the Documentation or implement reasonable internal controls.

§19

Indemnification

You will defend, indemnify, and hold harmless Agnotiq, its affiliates, and their respective officers, directors, employees, contractors, and agents from and against claims, damages, losses, liabilities, costs, and expenses arising from:

  • your use of the Services;
  • Customer Data;
  • your breach of these Terms;
  • your violation of law or third-party rights;
  • any claim that your data, instructions, or connected systems caused harm or infringement.

Agnotiq may control the defense and settlement of any indemnified claim, and you must cooperate reasonably in that defense.

§20

Governing law & disputes

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of laws rules. The parties agree to the exclusive jurisdiction and venue of the courts located in Ontario, Canada, unless a separate written agreement states otherwise.

If you are a U.S. customer, the parties may agree in the order form to additional dispute procedures, arbitration terms, or venue provisions. If so, those terms will control to the extent of any conflict.

§21

Consumer law & state rights

These Terms are intended for business customers and are not designed as consumer-facing terms. To the extent mandatory consumer protection laws apply, nothing in these Terms limits rights that cannot be waived by contract under applicable law.

For privacy rights, please refer to Agnotiq's Privacy Policy, which describes how Agnotiq handles personal information and explains rights that may be available under Canadian and U.S. privacy laws.

§22

Changes to these Terms

Agnotiq may update these Terms from time to time. If the changes are material, Agnotiq will provide reasonable notice, such as by posting an updated version on the website or by sending notice to the account owner.

Your continued use of the Services after the effective date of updated Terms means you accept the revised Terms.

§23

General terms

Assignment.
You may not assign these Terms without Agnotiq's prior written consent, except in connection with a merger, acquisition, or sale of substantially all assets. Agnotiq may assign these Terms as part of a reorganization, merger, acquisition, or asset transfer.
Force majeure.
Neither party is liable for delays or failures caused by events beyond reasonable control.
Severability.
If any provision is unenforceable, the remaining provisions remain in effect.
Waiver.
Failure to enforce a provision is not a waiver.
Entire agreement.
These Terms, together with any order form, DPA, and referenced policies, form the entire agreement regarding the Services.
§25

Order of precedence

If you enter into a separate order form, master services agreement, statement of work, data processing addendum, or support policy with Agnotiq, those documents will control over these Terms to the extent of any direct conflict. These Terms apply to the public website and self-serve use unless replaced or supplemented by a signed commercial agreement.

§26

Liability carve-outs

Unless a signed order form states otherwise, the following are excluded from the liability cap only to the extent required by law or expressly agreed in writing: (a) fraud or willful misconduct; (b) gross negligence where such exclusion is not enforceable; (c) payment obligations owed by Customer; and (d) indemnification obligations that a written agreement expressly states are uncapped. Agnotiq may also choose to apply separate cap treatment for data breach, confidentiality, or intellectual property claims in a signed commercial agreement.

§27

Security incident notice

If Agnotiq becomes aware of a security incident that affects Customer Data or personal information, Agnotiq will investigate and, where required by applicable law or contract, provide notice to the relevant customer or affected party without undue delay. Nothing in these Terms requires Agnotiq to disclose information that would compromise security, a law-enforcement investigation, or legally protected confidentiality obligations.
